Terms of Service

Welcome to ModelBuff (www.modelbuff.com), operated by Gravora LLC (“we”, “us”, or “our”), a Wyoming limited liability company located at 30 N Gould St Ste R, Sheridan, WY 82801, United States. These Terms of Service (“Terms”) govern your access to and use of our website, platform, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Service Description

ModelBuff is a cloud-based AI model aggregation and management platform that simplifies the integration of AI capabilities for developers and businesses. Our Service includes:

• A unified API gateway compatible with the OpenAI SDK standard, allowing developers to integrate once and access multiple AI models;
• Support for user-provided third-party API keys (“Bring Your Own Keys” or “BYOK”), enabling users to route requests through their own provider accounts via the ModelBuff platform;
• An included daily usage allowance for users who prefer to access AI models without maintaining separate provider accounts;
• A management dashboard for monitoring usage, managing API keys (both ModelBuff-issued and user-provided), and tracking costs;
• Intelligent routing, load balancing, and automatic failover across AI model providers;
• Usage-based billing with balance management and quota controls;
• Related developer tools, CLI utilities, and documentation.

ModelBuff is a software-as-a-service (SaaS) platform. We provide the software infrastructure, tools, and interface layer that add value on top of underlying AI model providers.

2. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information;
• Maintain the security of your account credentials, ModelBuff API keys, and any third-party provider API keys you add to the platform;
• Immediately notify us of any unauthorized access to your account;
• Accept responsibility for all activities that occur under your account, including usage generated through your own provider API keys managed by the platform.

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account and use the Service.

3. Subscription Plans and Billing

By purchasing a subscription plan or top-up balance through the Service, you agree to the following:

• Subscription Plans: We offer tiered subscription plans that include platform access, a daily restoring usage allowance, BYOK support, and features appropriate to each tier. A valid subscription is required to use the platform regardless of whether you use the included allowance or your own provider API keys.
• Usage Allowance: Each plan includes a daily usage allowance denominated in US dollars that restores automatically each day, up to a maximum balance cap. Usage is consumed based on per-token API pricing (matching official provider rates) and is non-transferable between accounts.
• Top-Up Balance: One-time top-up purchases are credited to a separate balance that does not expire for 12 months from the date of purchase. Top-up packs may include promotional bonus balance as advertised at the time of purchase; bonus amounts are subject to change.
• BYOK Billing: When you use your own third-party provider API keys through the platform, API usage costs are billed directly by the respective provider to your provider account. ModelBuff does not charge per-token fees for BYOK usage; however, a valid ModelBuff subscription is required for platform access, routing, monitoring, and management features.
• Auto-Renewal: All subscription plans automatically renew at the end of each billing cycle (monthly or yearly) at the then-current rate unless you cancel before the renewal date. We will send a reminder email at least 7 days before each renewal. You may turn off auto-renewal at any time from your account dashboard; your access will continue until the end of the current paid period.
• Payment: Payments are processed securely through our authorized payment service providers. You agree to provide valid payment information and authorize recurring charges for subscription plans.
• Price Changes: We may adjust pricing for future billing periods with at least 7 days' notice. Price changes do not affect your current billing period.
• Taxes: You are responsible for any applicable taxes in your jurisdiction. Where required, taxes will be displayed at checkout.

4. Third-Party API Keys (BYOK)

ModelBuff allows you to add your own API keys from third-party AI model providers (such as Anthropic, OpenAI, Google, DeepSeek, and others). By using this feature, you acknowledge and agree that:

• Your Responsibility: You are solely responsible for obtaining, maintaining, and using third-party API keys in compliance with each provider's terms of service, acceptable use policies, and applicable laws.
• Valid Authorization: You represent and warrant that you have valid authorization to use any third-party API keys you provide to the platform and that your use does not violate any agreements with those providers.
• Key Storage: Third-party API keys you provide are encrypted at rest and in transit. We access these keys solely to route API requests on your behalf. We do not share your keys with any party other than the respective provider for request fulfillment.
• Provider Terms: Your use of third-party AI models through BYOK remains subject to the respective provider's terms of service, pricing, rate limits, and usage policies. ModelBuff is not a party to your agreements with third-party providers.
• No Liability for Providers: We are not responsible for any actions taken by third-party providers, including but not limited to key revocation, account suspension, rate limiting, service outages, pricing changes, or data handling practices of those providers.
• Key Removal: You may remove your third-party API keys from the platform at any time through the dashboard. Upon removal, we will delete the stored keys from our systems.

5. Refund Policy

Due to the nature of digital services, all purchases are generally non-refundable. However, we may consider refund requests under the following circumstances:

• General principle: Refunds are not available for non-quality-related reasons. If you are unsatisfied with the Service for reasons unrelated to service quality or technical defects, no refund will be issued.
• Top-up balance: One-time top-up purchases are non-refundable once balance has been partially or fully consumed. If a refund is approved due to a qualifying service issue, the refund amount will be reduced by the value of any balance already consumed.
• Subscription plans: If a refund is approved for a subscription plan, the refund amount will be prorated based on the number of days elapsed in the current billing period (any partial day of usage counts as a full day).
• SLA-based refunds: We commit to a monthly service availability of 99.9% for ModelBuff platform infrastructure. If the Service fails to meet this uptime commitment in any given calendar month, you may request a prorated refund for the affected month only, calculated based on the remaining unused portion of that month's subscription. The following are excluded from downtime calculations: (a) scheduled maintenance announced at least 24 hours in advance, (b) emergency maintenance, (c) outages caused by third-party services, including but not limited to underlying AI model providers and infrastructure providers, and (d) force majeure events.
• How to request: To request a refund, please contact us at [email protected] with a description of the issue. Approved refunds are typically processed within 7-14 business days.
• Cancellation: You may cancel your subscription at any time through your account dashboard. After cancellation, you retain access until the end of your current billing period. No refund will be issued for the remaining unused portion of the current period.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not use the Service to:

• Violate any applicable laws, regulations, or third-party rights;
• Generate, distribute, or facilitate the creation of illegal, harmful, abusive, defamatory, or discriminatory content;
• Attempt to gain unauthorized access to the Service, other accounts, or related systems;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Redistribute or sub-license access to the Service without our written permission;
• Use automated means to create accounts or abuse free-tier quotas;
• Interfere with the operation, security, or performance of the Service;
• Use the Service in any manner that violates the acceptable use policies of underlying AI model providers.

We reserve the right to monitor usage and to immediately suspend or terminate accounts that violate this policy without prior notice or refund. Violations may also be reported to relevant law enforcement authorities.

7. Content Moderation

We implement content moderation measures in accordance with payment network requirements:

• We maintain automated systems to detect and prevent prohibited content generation;
• We log and review flagged requests to enforce our Acceptable Use Policy;
• Users may report violations to [email protected];
• We cooperate with law enforcement investigations related to illegal content.

8. API Usage and Rate Limits

• API usage is subject to rate limits and quotas as described in your subscription plan and our documentation.
• We may adjust rate limits to ensure fair usage and system stability.
• Excessive or abusive usage may result in temporary throttling or account suspension.

9. Service Availability

We target a monthly service availability of 99.9% for the ModelBuff platform infrastructure (API gateway, dashboard, and management services). The following are excluded from uptime calculations and do not count as downtime:

• Scheduled maintenance (announced at least 24 hours in advance);
• Emergency maintenance necessary to address security vulnerabilities or critical issues;
• Outages caused by third-party services, including but not limited to underlying AI model providers and infrastructure providers;
• Force majeure events beyond our reasonable control.

This availability commitment does not cover third-party AI model provider uptime or performance. When using BYOK, the availability and performance of your provider's API is governed by your agreement with that provider. Our intelligent routing and auto-failover features operate on a best-effort basis to mitigate third-party outages where alternative providers are available.

If the Service fails to meet the 99.9% monthly uptime commitment (after applying the above exclusions), you may be eligible for a prorated refund for the affected month as described in Section 5 (Refund Policy).

10. Intellectual Property

• The Service, including its design, software, features, and documentation, is owned by Gravora LLC and protected by intellectual property laws.
• You retain ownership of the content you submit to and generate through the Service, subject to the terms of the underlying AI model providers.
• We do not claim ownership of your input or output data. You grant us a limited, non-exclusive license to process your data solely as necessary to provide the Service.

11. Third-Party Services

Our platform integrates with third-party AI model providers to deliver its functionality. Your use of AI models through our Service is also subject to the respective providers' terms of service and usage policies. We are not responsible for the output quality, accuracy, or availability of third-party AI models.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.
• WE ARE NOT LIABLE FOR ANY LOSSES RESULTING FROM THE OUTPUT OF AI MODELS ACCESSED THROUGH THE SERVICE.
• WE SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM THIRD-PARTY PROVIDER ACTIONS, OUTAGES, OR CHANGES TO THEIR SERVICES, INCLUDING BUT NOT LIMITED TO ISSUES RELATED TO API KEYS YOU PROVIDE THROUGH THE BYOK FEATURE.

13. Indemnification

You agree to indemnify and hold harmless Gravora LLC, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

• You may cancel your subscription and terminate your account at any time through the account dashboard or by contacting us.
• We may suspend or terminate your account immediately and without prior notice if you violate these Terms, including but not limited to violations of the Acceptable Use Policy.
• Upon voluntary cancellation, your right to use the Service continues until the end of your current billing period. Upon termination for violations, access ceases immediately, and any remaining balance is forfeited without refund.
• Upon account termination, any third-party API keys stored on the platform will be deleted from our systems.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

16. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be settled by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), with the arbitration conducted in the State of Wyoming. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Gravora LLC.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
